1.1 These E-shop Rules (the “Rules”) are for the benefit of the Buyer and the Seller (the “Seller”) and are legally binding documents setting out the rights and obligations of the Parties.
1.2 The Seller reserves the right to change, amend or supplement these Terms and Conditions at any time. The Buyer shall be informed of any changes to the Terms and Conditions on the website of the e-shop.
Conclusion of the sale and purchase agreement
2.1 The Sale and Purchase Agreement between the Buyer and the Seller shall be deemed to be concluded when the Buyer has electronically formed and placed an order for goods in the online shop, after having read the following rules.
3.1 In serious circumstances, the Seller may suspend temporarily or completely the electronic operation of the shop without prior notice to the Buyer.
3.2 If the Buyer attempts to undermine the operation, stability and security of the e-shop or to infringe in accordance with its obligations, the Seller shall have the right, without notice, to restrict or suspend its ability to become an e-shop.
4.1 The Seller undertakes to make available the e-shop services which the terms and conditions of operation are set out in these Rules.
4.2 The Seller undertakes to deliver the goods purchased by the Buyer by the delivery method chosen by the Buyer, on the basis of the terms and conditions set out in these Terms of Sale and Purchase.
4.3 Where, due to unforeseen circumstances, the Seller is unable to deliver the goods ordered from the online shop the goods, the Seller shall have the right to terminate the Sale and Purchase Agreement by giving the Buyer prior notice. The supplier can offer a similar product. If the Buyer refuses, the Seller undertakes to reimburse the money paid within 5 working days.
4.4 The Seller may not refund the amount paid by the Buyer until the Goods have been returned to the Seller and the condition of the returned goods is found to be satisfactory.
5.1 The Buyer shall be entitled to purchase goods and services on this e-shop in accordance with these Rules.
Obligations of the buyer
6.1 The Buyer shall pay for the goods and services purchased, including the cost of the selected subscriptions’ renewal, and adopt them in accordance with the procedures set out in these Rules.
6.2 If the Buyer, at the time of delivery of the Goods, refuses to accept the Goods without good reason, the Buyer shall be obliged to pay the costs of returning the goods.
6.3 At the time of delivery of the Goods to the Buyer, the Buyer shall inspect the Goods together with the person delivering the consignment the condition of the consignment and the item(s). In the event of any defects in the assembly or quality of the goods, the Buyer must immediately inform the Seller. Upon agreement between the Seller and the Buyer, the Seller shall have the Seller’s goods replaced by others.
6.4 The Buyer undertakes to care for and treat the goods received as part of the subscription responsibly and to return the goods in the same condition and quality as when they were received, with normal wear and tear excepted.
6.5 The Buyer undertakes to compensate for any damage caused to the Goods by making appropriate compensation of the damaged, misplaced or otherwise adversely affected goods which must be returned as part of the subscription service. The Buyer agrees that, in the absence of this, the Seller shall be entitled to the right to terminate the provision of services, to demand the early return of the goods provided and to issue an invoice to cover losses. The Buyer undertakes to pay the invoice within 5 working days of receipt.
6.6 The Buyer agrees that the Seller shall not be liable for any damage to property or health caused by the Seller when buying goods or services.
6.7 By using the online shop, the Buyer confirms that he/she agrees to the following terms and conditions of sale and must comply with them.
7.1 The prices of the goods in the online shop shall be quoted in euros. Prices are inclusive of VAT. Subject to confirmation by the total amount of the goods is added to the total amount of the order plus a delivery charge, if applicable.
Ordering and paying for goods and services
8.1. the Customer shall select the goods or services he/she likes when visiting the online shop which they put in their shopping basket. After the shopping cart has been created, the buyer enters the personal data information necessary for the execution of the order: your name, the address to which the goods will be delivered, your telephone number, and the address at which the goods will be delivered your order number and any additional information that may be relevant to the delivery of the goods ordered. The buyer also acknowledges that they have read these Terms and Conditions and confirm their order/transaction.
8.3. Payment can be made using Visa/MasterCard payment cards. Payments can be made in euros. Payments are processed using the Stripe payment platform.
8.4 The Seller shall not be liable for any injury or other damage to property or health or for any damage caused by the use of goods or services provided by this shop.
8.5. 7 days after a failed renewal payment, the membership will be cancelled and a courier dispatched to collect the toy box sent earlier. If the buyer does not return the boxes in his possession within 7 days of the expiry of the paid-up subscription term, the Seller shall be entitled to issue a one-off invoice for reimbursement of the goods in full amount, the Buyer undertakes to pay the invoice within 3 working days. The amount of the reimbursement corresponds to the selling price of the unreturned goods on this website.
8.6 The Purchaser is responsible for their subscription management – the cancellation of purchased services. Cancellation of the subscription may be made by the Purchaser in your account at any time before your membership’s renewal. After renewal and without cancellation before the time of renewal, payments are not refunded. For renewals of longer than 1 month period, the customer may request termination of the service earlier than the chosen time by paying a cancellation fee equal to 1 month’s membership fee. This fee corresponds to compensation for early termination of services and is not considered or included in the current month’s payment period from the moment the box is dispatched.
8.7 Subscription/Membership: by purchasing a subscription, you agree to pay a fee for goods/services delivered for the period selected when you purchase your subscription/membership.
8.8. Any offer or promotion tailored to the term selected (1/3/6/12 months or other terms) for members is valid only for the specified period and renewed automatically at the full monthly membership price.
8.9 No discounts or special offers are available unless specifically stated on the payment at the time of booking, i.e. if the amount paid at the time of booking is €27.99, this means that this is the amount of the selected plan and no price, additional discounts or promotions are applied after the order is placed.
8.10. Subscription Renewal: by subscribing to the FunLearnPlay you understand and agree that with each renewal, you will pay the full price stated at the time of booking. Discounts or promotions applied at the time of the first booking are not valid for renewal payments. The company accepts no liability and does not undertake to offer refunds for automatic renewals if the membership has not been cancelled under the conditions set out in these rules. You understand and agree that the subscription fee will be automatically calculated at the end of the currently selected subscription term, unless you cancel your subscription at the end of the commitment period before renewal.
8.11. Your membership is continuous and renews automatically until you cancel it. Your membership will automatically renew for the selected term at the end of the commitment period.
8.12. Discounts/Special Offers: Discounts and offers are normally available for multi-month subscriptions. The offer is conditional on the person taking up the offer and staying for the selected period. If they choose to cancel your subscription before the end of the committed period, the client must reimburse any discounts or gifts given up to the time of the decision to cancel the subscription.
8.13. By accepting these terms and conditions, you agree that the management of your subscription is your responsibility. You can cancel your subscription by logging in to your account, which is created automatically when you purchase the subscription. The Company accepts no responsibility for cancelling a customer’s subscription for them or for the management of the subscription.
8.14. Overdue payments – upon the termination of a subscription where the customer has overdue payments, the customer shall be obliged and liable to pay the overdue amounts including daily overdue fees. The amount of daily overdue fees shall be calculated from the 4th calendar day after the beginning of the first calendar day of a missed payment. In case of late payment, a one-off fee of EUR 5 per day of delay is charged. This fee does not exempt the customer from paying the current month’s subscription fee.
Delivery of goods
9.1 When ordering the Goods, the Buyer must specify the exact delivery address.
9.2 The Buyer must take delivery of the Goods himself. If the Buyer is unable to accept the goods himself, but the goods are delivered to the address specified by the Buyer, the Buyer shall not be entitled to claim that the goods delivered have not been to the right person.
9.3 The Seller shall deliver the Goods to the Buyer in accordance with the terms specified in the descriptions of the Goods.
9.4 The characteristics of all goods for sale shall be set out in the description accompanying each item. Seller shall not be liable for the fact that the colour, shape or other characteristics of the goods in the online shop may or do not correspond to the actual size, shape and colour of the goods due to the characteristics of the monitor used by the Buyer.
9.5 In the event that the Buyer withdraws from the contract for the sale of the Goods, the Buyer shall not be entitled to a refund of any sums paid by the Buyers, including delivery costs paid by the Buyer.
Return of goods
10.1 Goods purchased during the period of provision of the Services and the amounts paid for them shall not be subject to return or refund. Depending on the type of service and goods, the goods sold are often second-hand before they are sold and the Buyer has had sufficient time to decide on the purchase and evalute the current and exact state of the product before making the decision to purchase. By this contract, the Buyer confirms that he/she understands and agrees that all goods purchased are non-returnable, not refundable.
10.2 In the event of cancellation of subscription and after the expiry of the paid-up period of membership, a courier shall be called to return the box of toys to the Seller. The customer is informed of the courier’s call by email or text message from the courier.
11.1 These Terms and Conditions are made in accordance with the laws of the Republic of Lithuania
.11.2 These Terms and Conditions and the relationship between the Parties hereto shall be governed by and construed in accordance with the laws of the Republic of Lithuania.
11.3 All disagreements arising out of the application of these Terms and Conditions shall be settled by negotiation. In the event of failure to reach an agreement, disputes shall be settled in accordance with the procedure established by the laws of the Republic of Lithuania.
11.4 The Parties shall be excused from performance of their obligations hereunder if they cannot be fulfilled due to unforeseen circumstances beyond the control of the Parties (Force major).
